Terms of Service

These terms govern your use of YourMatrix. By creating an account, you agree to be bound by these terms in full.

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Best ROI Media LLC (“YourMatrix,” “we,” “us,” or “our”) governing your access to and use of the YourMatrix platform, website, mobile application, and all related services (collectively, the “Service”).

By creating an account, accessing, or using YourMatrix in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy, DMCA Policy, GDPR Policy, CCPA Policy, Age Restriction Policy, and Community Guidelines.

If you do not agree to these Terms, you may not access or use YourMatrix. Your continued use of the Service following notice of any changes to these Terms constitutes acceptance of those changes.

2. Eligibility & Age

To use YourMatrix, you must meet all of the following requirements at the time of registration and at all times during your use of the Service:

  • You must be at least 18 years of age. YourMatrix is strictly an adults-only platform.
  • You must have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
  • You must not be prohibited from using the Service under any applicable law.
  • You must not have a previously terminated YourMatrix account, unless we have expressly authorized you to create a new account.
  • You must not be a competitor of YourMatrix accessing the Service for competitive intelligence purposes.

Zero Tolerance for Underage Users: Any account found to belong to a user under 18 will be permanently terminated immediately and all associated data deleted. Users who knowingly allow minors to access their account will also be permanently banned.

3. Accounts & Registration

To access YourMatrix, you must register for an account. By registering, you agree to the following:

  • Accurate information — You must provide accurate, current, and complete information during registration and keep your account information updated at all times.
  • One account per person — You may only create one personal account. Creating multiple accounts is a violation of these Terms and will result in termination of all associated accounts.
  • One account per phone number — Each account must be verified with a unique mobile phone number. One phone number may only be associated with one account.
  • Account security — You are solely responsible for maintaining the confidentiality of your password and for all activities that occur under your account.
  • Notify us of unauthorized access — You must immediately notify us at security@yourmatrix.io if you suspect any unauthorized use of your account.
  • No account transfer — You may not sell, transfer, or assign your account or any account rights to another person.

4. Account Types

YourMatrix offers three types of accounts, each with different requirements and capabilities:

Personal Account (Standard) — For individual users. Full platform access including friends, chatrooms, Town Square, radio stations, and customizable profiles. Requires phone verification and age confirmation.

Band, Artist & Media Pages (Creative / Media) — For musicians, artists, news outlets, creators, and podcasts. Followers only — no friends. Can post to feeds and Spotlights. Requires a separate email from personal account.

Verified Business Page — For commercial businesses. Requires: separate phone number, valid EIN, business email matching your website domain, and verified website URL. Displays a Verified Business badge.

Business Page Verification: Submitting false EIN information, using a non-business email, or misrepresenting your business during the verification process constitutes fraud and will result in immediate permanent termination and may be reported to appropriate authorities.

5. User Conduct

You agree to use YourMatrix in a manner that is lawful, respectful, and consistent with the spirit of the platform. You are solely responsible for all content you post and all actions you take on the platform.

You agree that you will not, under any circumstances:

  • Violate any applicable federal, state, local, or international law or regulation.
  • Harass, threaten, intimidate, bully, stalk, or abuse any other user or third party.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Attempt to gain unauthorized access to any account, system, or network associated with YourMatrix.
  • Use automated scripts, bots, scrapers, or other automated tools to access or interact with the platform.
  • Interfere with or disrupt the integrity or performance of the Service or servers or networks connected to the Service.
  • Circumvent, disable, or otherwise interfere with any security-related features of the platform.
  • Create multiple accounts to evade a suspension or ban.

6. Prohibited Content

The following content is strictly prohibited on YourMatrix. Posting, sharing, or distributing any of the following will result in immediate content removal and may result in account termination:

  • Child sexual abuse material (CSAM) or any content that sexualizes minors in any way
  • Content that promotes, glorifies, or facilitates violence, terrorism, or mass harm
  • Hate speech targeting race, ethnicity, religion, gender, sexual orientation, or disability
  • Non-consensual intimate imagery or content that violates another person’s privacy
  • Content designed to facilitate real-world violence or harassment against a specific person
  • Spam, phishing, malware, or any content designed to deceive or harm users
  • Copyrighted content you do not have the rights to post or share
  • Disinformation designed to deceive users or interfere with public safety
  • Content that promotes or facilitates illegal drug sales or other illegal transactions
  • Content promoting self-harm, suicide, or eating disorders in a glorifying manner
  • Doxxing — sharing private personal information of others without consent
  • Any content that violates applicable federal, state, or local law

CSAM Zero Tolerance: Any account found to post, share, or distribute child sexual abuse material will be permanently terminated immediately and reported to the National Center for Missing and Exploited Children (NCMEC) and applicable law enforcement without exception.

Enforcement — Strike System

For violations that do not warrant immediate termination, YourMatrix uses a progressive enforcement system:

  • 1st Strike — Formal warning. Content removed. Strike documented on account.
  • 2nd Strike — Temporary suspension. Duration based on severity of violation.
  • 3rd Strike — Permanent account termination. Phone number blacklisted.

YourMatrix reserves the right to skip directly to permanent termination for severe violations without prior warning.

7. Your Content & License

YourMatrix respects your ownership of the content you create. The following terms govern content you post on the platform:

You Own Your Content

You retain full ownership of all content you post on YourMatrix, including photos, videos, audio, text, and other materials (“User Content”). YourMatrix does not claim any ownership rights over your content.

License You Grant to YourMatrix

By posting content on YourMatrix, you grant YourMatrix a non-exclusive, royalty-free, worldwide, sublicensable license to use, display, reproduce, distribute, and modify your content solely for the purpose of operating, providing, and improving the Service. This license ends when you delete your content or account.

Your Responsibility

  • You represent and warrant that you own or have the necessary rights to post all content you share on YourMatrix.
  • You are solely responsible for all content you post and any consequences that arise from it.
  • You agree not to post content that infringes any third party’s intellectual property, privacy, or other rights.

Your data is yours: You can export your content and account data at any time from Settings → Privacy → Download My Data. When you delete your account, all your content is permanently deleted within 30 days.

8. Copyright & DMCA

YourMatrix complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). We respond expeditiously to valid copyright infringement notices and will remove or disable access to infringing content.

Our designated DMCA agent is registered with the United States Copyright Office (Registration No. DMCA-1070202). To file a copyright infringement notice or counter-notification, contact:

Users who repeatedly infringe copyright will have their accounts permanently terminated pursuant to our repeat infringer policy, as required by 17 U.S.C. § 512(i).

9. Pages & Business Verification

General Pages (Band, Artist, News, Creator)

Creative and media pages are available to any verified 18+ user with a separate email address from their personal account. Page owners are responsible for all content posted under their page. Pages may only follow users — they cannot send friend requests or participate in Town Square chatrooms.

Verified Business Pages

Business pages require the following verified information before a Verified Business badge is issued:

  • A valid Employer Identification Number (EIN) issued by the IRS.
  • A business email address whose domain matches the verified business website (e.g., info@yourbusiness.com for yourbusiness.com).
  • A phone number separate from the account holder’s personal account phone number.
  • A valid, operational business website that matches the domain of the business email.

Misrepresentation: Providing false EIN information, using a mismatched email domain, or otherwise misrepresenting a business during verification constitutes fraud. Such accounts will be permanently terminated and may be referred to law enforcement.

Page Ownership & Control

All pages must be owned and controlled by a verified YourMatrix user account. The owning user is fully responsible for all activity on their page. Page ownership cannot be transferred to users who are not verified YourMatrix members.

10. Privacy & Data

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, GDPR Policy, and CCPA Policy, all of which are incorporated into these Terms by reference.

  • We do not sell your personal data to any third party under any circumstances.
  • You may request a copy of your data, correction of your data, or deletion of your account and all associated data at any time.
  • California residents have additional rights under the CCPA. See our CCPA Policy.
  • EU/EEA residents have additional rights under GDPR. See our GDPR Policy.
  • All data deletion requests are processed within 30 days of confirmation.

11. Termination

Termination by You

You may terminate your account at any time by going to Settings → Account → Delete Account. Account deletion is permanent and irreversible. All your content and personal data will be permanently deleted within 30 days.

Termination by YourMatrix

YourMatrix reserves the right to suspend or permanently terminate your account at any time, with or without notice, for any of the following reasons:

  • Violation of these Terms or any incorporated policy.
  • Posting prohibited content or engaging in prohibited conduct.
  • Providing false information during registration or business verification.
  • Being found to be under 18 years of age.
  • Repeated copyright infringement under our DMCA policy.
  • Any activity that we reasonably believe poses a risk to the platform, other users, or third parties.

Upon termination, your license to use the Service immediately ceases. Sections of these Terms that by their nature should survive termination will remain in effect, including ownership provisions, disclaimers, limitations of liability, and dispute resolution.

12. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

YourMatrix does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. YourMatrix does not warrant the accuracy, completeness, or usefulness of any content on the platform.

User Content Disclaimer: YourMatrix is not responsible for any content posted by users. Views, opinions, and content expressed by users do not represent the views of YourMatrix or Best ROI Media LLC.

13. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall YourMatrix, Best ROI Media LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Service.

In no event will YourMatrix’s total liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of (a) the amount you paid to YourMatrix in the 12 months preceding the claim, or (b) $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.

14. Dispute Resolution

Governing Law

These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Informal Resolution First

Before initiating any formal legal proceedings, you agree to contact us at legal@yourmatrix.io and attempt to resolve the dispute informally. We will make a good faith effort to resolve any dispute within 30 days of receiving written notice.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except that either party may bring claims in small claims court if the claims qualify.

Class Action Waiver

You and YourMatrix agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Venue

For any matters not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Harris County, Texas.

15. Changes to Terms

YourMatrix reserves the right to modify these Terms at any time. When we make material changes, we will:

  • Update the “Effective Date” at the top of this page.
  • Send a notification to the email address associated with your account.
  • Display an in-app notice for at least 14 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using YourMatrix and may delete your account.

We’ll always give you notice. We believe in transparency. We’ll never make surprise changes to material terms without giving you time to review them and make an informed decision about continuing to use YourMatrix.
